The short version

Plybook lets you create, send and sign contracts online. These terms are the rules for using it. By using Plybook, you agree to them. We have kept this as plain as we can, but it is still a legal agreement, so please read it.

Plybook is run by Studio Kaiju Pty Ltd ABN 79 642 047 489 ("Plybook", "we", "us", "our"). When we say "you", we mean you as a user.

Who these terms are for

There are two kinds of user. Senders are people with a Plybook account who create and send contracts. Signers are people who open a contract you have sent and sign it. Signers do not need an account. They agree to these terms when they follow the link to sign.

How Plybook works

Plybook lets you create a contract, add the people who need to sign, send it, and collect signatures. We use a trusted Australian e-signature provider, Annature, to handle the signing and keep a secure record of it.

You will need a valid email address to set up an account. You can access your account by logging in at plybook.app. Signers get to their contract through a secure link we send by email or SMS. Keep that link private. Anyone who has the link can open the contract, so do not share it with people who should not see it. We cannot be responsible for a contract that gets into the wrong hands because a link was shared.

What you are responsible for

You own what you put into Plybook. That means you are responsible for the wording of your contracts and whether they are right for your situation, for making sure the details you enter are correct, and for getting your own legal advice if you are not sure a contract does what you need.

Plybook is a tool for sending and signing contracts. We do not write your contracts, we do not check them, and we cannot tell you if one is legally sound or fit for purpose. If you need that, please talk to a lawyer before you sign.

Signing and identity

By default, we help confirm who is signing by sending the contract to a verified email or mobile number. If you turn off or skip any identity step, it is up to you to make sure you have confirmed who you are dealing with and that you have met any legal requirements that apply to you.

An electronic signature on a Plybook contract is meant to be legally binding, the same as signing on paper. If you are a signer and something in the contract looks wrong, or does not match what you agreed, stop and sort it out with the sender before you sign. We cannot fix or change a contract for you, because it is not ours.

Disputes between users

If a disagreement comes up about a contract, that is between the people involved in it. We are not a party to your contract and we do not get involved in sorting out disputes between users.

Paying for Plybook

Plybook works on a pay-per-use credit system. You buy credits, and each contract you send uses credits. Prices are shown on our site and at checkout, so you will always see what a contract costs before you send it.

We may change prices from time to time by updating them on the site. Any change applies to credits you buy after the change, not to credits you have already bought.

GST. Prices are shown before GST, and GST is added at checkout. We will give you a tax invoice for every purchase, so you have what you need for your BAS.

Refunds. Credits are generally non-refundable once bought. We will provide a refund where the law requires one.

Your data

What you put into Plybook stays yours. We do not claim any ownership of your contracts or content.

We store your contracts and signed records securely, through trusted providers. We will keep signed contracts for at least 5 years so you have a record. After that, we may remove them. We will not access, use or share your content except where we have to by law, where these terms allow it, or where you ask us to.

Keeping Plybook secure

We take security seriously. In return, please do not do anything that puts the safety of Plybook or other users at risk. You are responsible for keeping your login details safe. If someone uses your account because they got your password, that is on you, so pick a strong one and do not share it.

To protect everyone, we may pause or hold a contract if we need to check it for fraud or misuse. We may also ask you to confirm your identity if something looks off. We will only do this when we think it is needed.

Things we cannot promise

We work hard to keep Plybook running, but we cannot promise it will always be available without interruption. Plybook depends on other services (like hosting and our e-signature provider) that are outside our control.

We provide Plybook as is. To the extent the law allows, we are not liable for loss or damage that comes from using Plybook, including lost data, lost profits or a contract that turns out not to be enforceable. Nothing in these terms takes away rights you have under the Australian Consumer Law that cannot be excluded.

Changing or ending your use

You can stop using Plybook at any time. We can suspend or close an account if it is being misused, used for anything unlawful, or used in a way that breaks these terms. We will usually let you know, but we may not always be able to.

We may update, improve or change Plybook over time. We will not make changes that deliberately cut off your access to your data or gut the usefulness of the product, except as set out in these terms.

Updates to these terms

We may update these terms from time to time. If we do, we will post the new version here. Unless we say otherwise, changes take effect [one month] after we post them. If you keep using Plybook after that, you are agreeing to the new terms.

The legal bits

These terms are governed by the laws of Western Australia, Australia. Any dispute will be handled in the courts of that state. If part of these terms turns out to be invalid, the rest still applies.
