What is an NDA?
An NDA (non-disclosure agreement) is a contract that keeps sensitive information private between two parties. It's sometimes called a confidentiality agreement - same thing, different name.
As a freelancer, you'll run into two situations where you need one. First, when a client shares sensitive business info with you. Second, when you're sharing your own ideas or concepts with a potential client before they've committed.
When should you use one?
Before sharing anything you wouldn't want made public - pitching creative concepts, accessing client systems, collaborating with other freelancers, or discussing a business idea with a potential partner.
What's included
Definition of confidential information - clearly spells out what counts as confidential. Vague definitions lead to disputes.
Obligations of both parties - what each person must do (and not do) with the information they receive.
Exclusions - what's not covered. Information that's already public, independently developed, or required by law to be disclosed.
Duration - how long the confidentiality obligation lasts. Typically 2-3 years for freelance work.
Consequences of breach - what happens if someone breaks the agreement, including the right to seek legal remedies.
Signatures - space for both parties. Valid under Australian law when signed electronically.
