What is a subcontractor agreement?

A subcontractor agreement is a contract between you (the hiring freelancer) and another freelancer you're bringing in to help with a project. It formalises the arrangement so everyone knows what's expected.

As your freelance business grows, you'll likely need to subcontract work. Maybe you're a designer who needs a copywriter, or a web developer who needs an illustrator. This template keeps things professional and protects both parties.

When should you use one?

Any time you hire another freelancer or contractor to help deliver work for your client. Even if they're a mate. Especially if they're a mate - mixing money and friendships without clear terms is asking for trouble.

What's included

Scope of subcontracted work - exactly what the subcontractor will deliver, including deadlines and quality standards.

Payment terms - how much, when, and how the subcontractor gets paid. Keep this separate from your client agreement.

Intellectual property assignment - ensures the IP the subcontractor creates is assigned to you, so you can pass it on to your client.

Confidentiality - the subcontractor agrees not to share your client's sensitive information.

Relationship clause - clarifies that the subcontractor is an independent contractor, not an employee. Important for tax and legal purposes in Australia.

Liability and indemnity - who's responsible if something goes wrong with the subcontractor's work.
